Our transaction types are intentionally broad. After all, no two deals or transactions are alike. You need an advisor who knows how to evaluate industries and transactions, craft a compelling story, and can run an efficient process to close your transaction.
Even if transaction today isn't the right approach, we also offer a range of consulting services to help our clients prepare for an eventual transaction.

Full-service IB services from initial pitch to transaction closing for healthy companies that meet our deal criteria. Outreach to PE only, strategic buyer only, or both.

Pursue alternatives for under-performing situation, whether a going concern sale, Article 9, 363 sale, or other insolvency related transactions.

Even small deals need a new home. Hire an experienced, nimble sell-side advisor to run an efficient process to test the waters.

Hire OCP to help negotiate a direct deal and keep parties honest. Run a limited process where confidentiality is paramount.

BUYSIDE ADVISORY
Help to identify potential targets, and start a strategic outreach to gauge potential interest and create actionable opportunities. Involving an intermediary often enables more conversation than a direct approach.

Review strategic alternatives with PE firms managing 1-2 remaining assets in legacy funds. Recap into new fund, raise continuation vehicle, or pursue secondary sale.
OUR PROCESS
The client's needs dictate the solution. First step is to understand your transaction goals.
From there, we put together an engagement that either is full-service and success driven, OR based on monthly retainer or hourly basis.
Sell-side advisory services usually include the following:
- Diligence to understand the business model, identify both growth opportunities and risks, learn the industry
- Prepare 1-page teaser, Confidential Information Memorandum, financial model, and management presentation documents
- Outreach to potential buyers on a confidential basis. Coordinate all Buyer communication until closing.
- Establish a virtual data room and work with management to populate with relevant files
- Host management presentations and facility visits
- Review offer letters with client, provide feedback and help negotiate on their behalf
- Assist with confirmatory diligence and transaction closing.
