SERVICE OFFERING

The capital outreach process involves both a) knowing who to call/email, b) knowing how to craft the story, and c) grinding through hours of administrative tasks, Fortunately this is where OCP excels.

Here is a sample of what efficient, cost-effective capital outreach from OCP looks like:

  • Prepare 1-page teaser, and Non-Disclosure Agreement, to be sent to potential parties.
  • Email and/or call 100+ potential parties (or many more, if desired) on a confidential basis (both company name and sponsor name withheld initially, if desired)
  • Coordinate/confirm NDA execution from the parties, and send access to data room.
  • Create a data room for investor communication, including all deal materials, financial model, sponsor Q&A,
  • Work with sponsor to understand all the deal characteristics, major diligence issues (and how best to address), intro's to potential legal or diligence providers (if needed), and develop feasible timeline to closing
  • Develop and send "Request for Proposal" to interested parties
  • Hand over scrubbed list of ~10 interested parties who wish to dive deeper. Invite for management Q&A, facility visit, or simply receive "support letters" to demonstrate to seller you have access to financing.

OUR PROCESS

We recommend getting involved within 2-3 weeks of LOI signing. Any earlier, it becomes hard for OCP or capital providers to know whether the deal is actionable. Any later, it becomes a challenge to close the transaction on time.

During our initial consultation, OCP can outline the process and expected timeline. In most cases, we anticipate receiving preliminary interest within 1-2 weeks, term sheets within 30 days and close within 90 days.
